Usage Agreement

Please read this Agreement carefully. By using www.EntreAlliance.com, the network or any other services provided by or through www.EntreAlliance.com (the "Website"), you are giving your acceptance and are bound by all the Terms and Conditions in this Agreement (the “Agreement”). Entrepreneurs, innovators, users of the website, or future users are herein referred to as "User" or "Users. All executives, businesspersons, investors or investment firms, may be classified as TeamMembers throughout the website (“TeamMember", "TeamMembers" or simply "investors" or "investor"), are also bound by all Terms and Conditions in this Agreement. Users and investors may be collectively referred to as "Members" in this Agreement. EntreAlliance, Inc. ("EntreAlliance"), owner of the Website, reserves the right, at its discretion, to revise this Agreement at any time, along with update, suspend, discontinue or modify any pages or services on the Website, effective upon modification or posting at the Website or notifying you otherwise.

Eligibility: By using the Website, you agree that you are not under the age of 18 (and if a resident of Alabama or Nebraska, not under the age of 19 and if a resident of Mississippi, not under the age of 21), and are using the Website solely for yourself or your business. You also agree to use the Website for lawful purposes only, and will not in any way use, post, transmit or replicate anything that may violate the rights or privacy of any person or company. Further, you agree that you have not previously been suspended or removed from the Website, are not a direct competitor of EntreAlliance, do not have more than one Website account at any given time, and that you have full power and authority to enter into this Agreement and in doing so will not violate any other agreement to which you are a party.

Our Obligations: Our goal is to provide the best Website and services as possible. We guarantee we will pre-screen and verify all Members prior to granting them access to the Website. EntreAlliance has appointed a limited number of certified verification agents who are apart of EntreAlliance, and must abide by all Terms and Conditions of this Agreement, on top of a strict EntreAlliance contract.

Once we deem a Member is suited to use the Website, it is then up to Members to do further screening and verification. We guarantee we will take action on any and all Members if a violation occurs, or a complaint is received.

Website Profile: When joining the Website, you will create a profile that will contain the information entered during registration ("Profile"). Your Profile may also contain information entered after registration, including content updates or uploads. You agree to maintain the accuracy of your information and to keep account information confidential.

You may not impersonate any person or entity or otherwise misrepresent your identity in your Profile. Furthermore, you may not misrepresent your age or your affiliation with any person or entity. During registration you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username or password of another Member at any time or to disclose your password to any third party. You agree to notify EntreAlliance immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

You are also responsible for all information listed in your Profile. EntreAlliance does not endorse and will in no way be affiliated with businesses, external links or other information viewable in Profiles. EntreAlliance may display on the Website, ads for people or companies, as well as link to external sites in all sections. Members of the Website, along with advertisers, acknowledge that listing or visiting these ads or links that may be in no way affiliated or endorsed by EntreAlliance, is at your own risk. You agree that EntreAlliance will in no way be held liable for any damage or losses suffered from visiting or listing any content, external links or ads, Profile information or other Member Profiles on the Website.

User Accounts: As a User your membership is solely for your individual use and you may not authorize any other Users to access your account, Profile, messages or any other services. You are solely responsible for all use of your account including, but not limited to, content published, messages sent or posted, and interactions with other Members, whether or not you have authorized such activities.

Investor Accounts: If allowed by EntreAlliance, investors may share access with partners if apart of an investment firm or other group looking for investments or to help Users, where all these investors accessing the site will individually agree to and be bound to all Terms and Conditions of this Agreement. Additionally investors must also agree and abide the to Investor Terms and Conditions.

Member Communication: EntreAlliance does not offer any guarantees as to how many times or how many Website investors will contact Users, or if they will contact Users. Users profile will contain an updated list off all investors that have viewed a Profile, for reference and future Profile enhancement. Users may view the complete list and contact investors at any time if available.

Postings: The Website may include areas viewable by all Members, such as forums, blogs, chat rooms, video broadcasting rooms and other interactive areas where you can post your media, content, observations and comments. EntreAlliance cannot guarantee that other Members will not use the ideas and information that you share in these Member areas. Therefore, if you have an idea or information that you would like to keep confidential and/or don’t want others to use or see, do not submit or post any content in these areas of the Website.

EntreAlliance reserves the right, in its sole discretion, to reject, refuse to post or remove any content by you, or to restrict, suspend, or terminate your access to all or any part of the Website at any time, for any or no reason, with or without prior notice, and without liability or compensation.

Usage: You acknowledge that EntreAlliance may establish limits concerning use of the Website, including the length, number or size of all content, messages, postings, or other contents that are retained, stored, displayed, or transmitted through the Website. We may also limit the frequency with which you may access the Website if it appears excessive or automated.

Member Obligations: As a Member of the Website you agree to abide by and up hold certain obligations. You agree you will not: duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, otherwise transfer or commercially exploit EntreAlliance and the Website (excluding content posted by you) except as permitted in this Agreement; reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any underlying intellectual property used to provide the Website, or any part thereof; adapt, modify or create derivative works based on the Website or technology underlying, or other Users’ content, in whole or part; rent, lease, loan, trade, sell/re-sell access to the Website or any information therein, or the equivalent, in whole or part; access, reload or “refresh” or make any other request to transactional servers more than once during any three second interval; access, via automated or manual means or processes, the Website for purposes of monitoring its availability, performance or functionality or for any competitive purpose; engage in leeching and “framing,” “mirroring,” or otherwise simulating the appearance or function of the Website; attempt to or actually access the Website by any means other than through the interface provided by EntreAlliance; attempt to or actually override any security component included in or underlying the Website; engage in any action that interferes with the proper working of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of computer viruses; remove any copyright, trademark or other proprietary rights notices contained in or on the Website, including those of both EntreAlliance or any of its licensors; remove, cover or otherwise obscure any form of advertisement included as part of the Website; interfere with or disrupt the Website, including but not limited to any servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website; invite people with whom you have no prior relationship to join the Website; or upload a cartoon, symbol, drawing or any content other than a photograph of yourself in your Profile photo.

You further agree you will not upload, post, email, transmit or otherwise make available or initiate any content that: falsely states, impersonates or otherwise misrepresents your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present; is unlawful, libelous, abusive, obscene, discriminatory, or otherwise objectionable; includes information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights; includes any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation. This prohibition includes but is not limited to (a) using the Website invitations to send messages to people who don’t know you or who are unlikely to recognize you as a known contact; (b) using the Website to connect to people who don’t know you and then sending unsolicited promotional messages to those direct connections without their permission; and (c) sending messages to distribution lists, newsgroup aliases, or group aliases. You also further agree you will not upload, post, email, transmit or otherwise make available or initiate any content that: contains software viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment of the Website or any user of the Website; forges headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Website; and/or adds to a content field content that is not intended for such field (i.e. submitting a telephone number in the “title” or any other field).

Termination: You may terminate this Agreement, with or without cause, at any time, with notice to EntreAlliance, which shall take affect upon EntreAlliance processing the request. You agree that EntreAlliance may, with or without cause, immediately terminate your account and your access to the Website without prior notice. Moreover, if at any time EntreAlliance deems that your Profile or any information in your Profile is untrue, inaccurate, not current, violates Copyright and other laws, or violates the Terms and Conditions of this Agreement, EntreAlliance reserves the right to modify, suspend or cancel your account or use of the Website or any future uses of the Website, at any time without compensation and without refund of any fees paid to EntreAlliance.

International: As a consequence of the global nature of the Internet, you agree to comply with all local rules and laws regarding conduct on the Internet and acceptable content. Specifically, you agree to comply with all applicable laws regarding obscene and indecent content and communications and those regarding the transmission of technical data exported from the United States or the country in which you reside.

Indemnification: By using the Website you agree to fully indemnify, defend, and hold harmless EntreAlliance, it's parents, subsidiaries, affiliates, customers, vendors, officers and employees from any liability, damage or cost (including reasonable attorneys fees and cost) against any and all claims arising from the use of the Website and use of any of its content, services, other Members Profiles or external links and information.

In no event shall EntreAlliance be liable under contract, tort, strict liability, negligence or other legal theory; with respect to the Website or any content, for any lost profits or special, indirect, incidental, punitive, or consequential damages of any kind whatsoever; or for any direct damages, of any actual or conjectural amount. This Agreement is governed by the laws of the State of Oregon, USA. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You hereby consent and agree to submit to the exclusive jurisdiction of the State of Oregon, USA.

Contrariness: If you believe that you are entitled or obligated to act contrary to this Agreement under any mandatory laws, you agree to provide EntreAlliance with detailed, 30 days prior written notice before you act contrary to this Agreement, to allow us to assess whether we may, at our sole discretion, provide an alternative remedy for the situation.

Assignment and Delegation: You may not assign or delegate any rights or obligations under the Agreement and any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under the Agreement, fully or partially. We may also substitute, by way of unilateral novation, effective upon notice to you, EntreAlliance for any third party that assumes our rights and obligations under this Agreement.

Limitation of Warranties and Liability
ENTREALLIANCE PROVIDES AN AS-IS AND AS AVAILABLE SERVICE WITHOUT WARRANTY OF ANY KIND. We strive to keep the Website up and running 24 hours a day 7 days a week, but we offer no guarantee of this. You agree that EntreAlliance may not be held liable for any downtime that the Website may have. You also acknowledge that the Website may be down and inaccessible at any time, for any amount of time, for any reason at all. We do not warrant that the Website or the content will be accurate, error-free, virus-free, or uninterrupted or that it will meet your requirements. EntreAlliance will correct any problems that might occur but offers no guarantee as to when problems might be fixed.

ENTREALLIANCE DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE WEBSITE OR ANY RELATED SERVICES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL EXPRESS AND IMPLIED REPRESENTATIONS AND WARRANTIES WITH RESPECT TO THE WEBSITE AND ANY RELATED SERVICES ARE HEREBY DISCLAIMED.

WITHOUT LIMITING THE FOREGOING, ENTREALLIANCE DOES NOT GUARANTEE THAT ITS SECURITY PROCEDURES WILL PREVENT THE LOSS OF, ALTERATION OF, OR IMPROPER ACCESS TO MEMBER INFORMATION. MEMBERS AGREE THAT ENTREALLIANCE IS NOT RESPONSIBLE FOR ANY COMPROMISE OF INFORMATION.

ENTREALLIANCE IS NOT RESPONSIBLE FOR THE CONTENT OF PROFILES AND DOES NOT VERIFY, ENDORSE OR OTHERWISE VOUCH FOR THE CONTENT OF ANY MEMBERS INFORMATION. FURTHER, ENTREALLIANCE IS NOT RESPONSIBLE FOR THE DELIVERY, QUALITY OR OTHER ASPECTS OF ANY GOODS OR SERVICES PROMOTED, SOLD OR OTHERWISE PROVIDED BY MEMBERS THROUGH THE WEBSITE OR OTHERWISE. MEMBERS ARE SOLELY RESPONSIBLE FOR THEIR CONTENT AND ACTIVITIES.

MEMBERS ACKNOWLEDGE AND AGREE THAT THEIR SOLE REMEDY IS THE RIGHT TO TERMINATE THEIR ACCOUNT WITH ENTREALLIANCE. MEMBERS EXPRESSLY ACKNOWLEDGE AND AGREE THAT ENTREALLIANCE IS PROVIDING THE WEBSITE AND RELATED SERVICES IN RELIANCE ON THE DISCLAIMERS AND LIMITATIONS SET FORTH IN THIS AGREEMENT, AND FURTHER ACKNOWLEDGES AND AGREES THAT SUCH DISCLAIMERS AND LIMITATIONS ARE REASONABLE.

IN THE EVENT ANY LIMITATION ON LIABILITY IS HELD TO BE UNENFORCEABLE, THE AGGREGATE LIABILITY OF ENTREALLIANCE ARISING FROM OR RELATING TO THIS AGREEMENT (REGARDLESS OF THE FORM OF ACTION OR CLAIM) SHALL IN NO EVENT EXCEED ANY AMOUNTS MEMBERS HAVE PAID TO ENTREALLIANCE DURING THE THEN-PREVIOUS TWELVE (12) MONTH PERIOD.

THE LIMITATIONS IN THIS AGREEMENT APPLY TO ALL CLAIMS REGARDLESS OF THE CAUSE OF ACTION UNDERLYING THE CLAIM, INCLUDING BREACH OF CONTRACT (EVEN IF IN THE NATURE OF A BREACH OR FAILURE OF A FUNDAMENTAL TERM) OR TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, FRAUD OR MISREPRESENTATION.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS ENTREALLIANCE’S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. USER RIGHTS MAY OTHERWISE VARY FROM JURISDICTION TO JURISDICTION.

 

Privacy Policy

Registration: EntreAlliance stores your complete Profile and all the information submitted at the time of registration, with the majority of information being used to fulfill your Website Profile, and other information used for screening and verification purposes. You hereby grant EntreAlliance the right to store and display, the information submitted by you through the Website.

Privacy and Disclosure: EntreAlliance will never share, rent or sell your contact or Profile information with any third party, without your prior consent. Any sensitive information that you provide will be secured with all industry standard protocols and technology. Passwords will be encrypted prior to being stored. To further protect full Profiles and other information, Users may enable to option to have all their information excluded from User search results and may block communication.

Your complete Profile will be readily available to EntreAlliance and all EntreAlliance investors. Your identity, personal information, executive summaries and ideas will be kept private from other Website Users, unless you choose, yourself, to make the information available.

Billing: Billing and verification information you enter during registration will be used by EntreAlliance for verification and will not be made available to anyone else. EntreAlliance uses third party payment processors, Paypal and Google, and will not store or view any credit card or financial information whatsoever.

Invites: In order to invite others to the network, you will enter email addresses in an optional invite form. This information will only be used by EntreAlliance to send your invitation and/or invite reminders, along with an optional message that you write.

Third Party Services: EntreAlliance provides an option for you to import your contacts from third party services such as Gmail, Yahoo, Mac, Hotmail and others. During this time you will enter your login name and password for that specific service you want to import from. EntreAlliance does not view or store this information. Once your login processes, a list of your contacts will be displayed and you may choose to send them invitations.

EntreAlliance also provides the option for Members to post their Profile blog, simultaneously to other websites or services such as Twitter, Blogger, Facebook, LiveJournal and others. EntreAlliance will encrypt and store login information to these services, to allow future hassle free postings to these services.

Cookies and Logging: EntreAlliance uses a session cookie to allow logins to the network for continuous navigation and full use of features.

EntreAlliance may, at its discretion, log or store either regularly or randomly, Member login dates and times or locations.

Website Monitoring: Communication between Members, along with all postings, may be monitored at any time, but is not done so on a regular basis. This is likely to happen if a complaint is received. EntreAlliance may disclose content and information about you if we deem it reasonably necessary to: conform to legal requirements or respond to legal process; ensure your compliance with this Agreement or protect the rights, property, personal safety or interests of EntreAlliance, its employees or officers, its Members, or the public.

Information and Data: Due to the communications standards on the Internet, when you visit the Website we automatically receive the URL of the site from which you came and the site to which you are going when you leave. We also receive the Internet protocol (IP) address of your computer (or the proxy server you use to access the World Wide Web), your computer operating system and type of web browser you are using, as well as the name of your ISP. This information is used to analyze overall trends to help us improve the service. The linkage between your IP address and your personally identifiable information is never shared with third-parties without your permission or except when required by law.

You may review the personal information you provided during registration and make any desired changes to the information, or to the settings of your account, by logging into the Website and selecting Account Settings. You may also close your account by contacting EntreAlliance at any time. If you close your account, we will remove your name and other personally identifiable information from our Member viewable data. We may retain certain data contributed by you if it may be necessary to prevent fraud or future abuse, or for legitimate business purposes, such as analysis of aggregated, non-personally-identifiable data, account recovery, or if required by law. All retained data will continue to be subject to the terms of the Privacy Policy. To request that we close your account and remove your information from the Website, please send your request to . Notice of all changes that materially affect ways in which your personally identifiable data may be used or shared will be posted on this page. If you continue to use the Website after notice of changes have been published, you hereby provide your consent to the changed practices.

 

Copyright Infringement and Intellectual Property Rights

Claims: Pursuant to the Digital Millennium Copyright Act, 17 U.S.C. sec. 512, EntreAlliance has designated an agent to receive notices of claimed copyright infringement. If you believe that your work has been used in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide our Designated Agent the following information:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
• Identify the copyrighted work, or other intellectual property interest that you claim has been infringed (or if multiple works, then a representative list of such works);
• A description of where the material that you claim is infringing is located on the Website;
• Your address, telephone number, and email address;
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law;
• A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

Counter-Notice: If the alleged infringer believes that a notice of has been wrongly filed, they may file a Counter-Notice with the Designated Agent, containing the following information:

• A physical or electronic signature of the alleged infringer;
• Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
• A statement under penalty of perjury that the alleged infringer has a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled; and
• The alleged infringer’s name, address, and telephone number, and a statement that the alleged infringer consents to the jurisdiction of Federal District Court for the judicial district in which the address is located, or if the alleged infringer’s address is outside of the United States, for any judicial district in which EntreAlliance may be found, and that the alleged infringer will accept service of process from the person who provided notification or an agent of such person.

If a Counter-Notice is received by the Designated Agent, EntreAlliance may send a copy of the Counter-Notice to the original filing party informing that party that EntreAlliance may replace the removed material or cease disabling it in 10 business days. Unless the owner files an action seeking a court order against the alleged infringer, the removed material may be replaced or access to it restored in 10 business days or more after receipt of the Counter-Notice, at EntreAlliance's discretion.

Notice

The entire Website, including text, images, styles, source code, scripts and any other content displayed on the Website is property of EntreAlliance, and absolutely nothing from the Website may be used, reproduced, adapted or copied, or used in any other way that may violate laws, trademarks or copyrights, without the expressed written consent of EntreAlliance. Linking to the Website main homepage is permitted. Linking to or leeching any external pages or content of the Website is prohibited, without prior approval.

If at any point you find yourself to not be in agreement, you must refrain using the Website, and your account, if any, will be terminated without any compensation upon EntreAlliance receiving notice from you.
